These Terms and Conditions ("Terms") are a legally binding agreement between you ("User", "you", or "your") and Emperor Technologies LLC, a California limited liability company ("Emperor Technologies", "mymealT", "Company", "we", "our", or "us"), governing your access to and use of the mymealT mobile application, website, and all related products, features, technologies, content, and services (collectively, the "Service").

1. Introduction

1.1 By creating an Account, accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

1.2 If you do not agree to these Terms, you must not access or use the Service.

1.3 These Terms apply to all Users of the Service, including registered users, subscribers, and visitors, unless expressly stated otherwise.

1.4 Certain features, products, promotions, or subscription plans may be subject to additional terms, which supplement these Terms and prevail only to the extent of any inconsistency with respect to the relevant feature.

1.5 By using the Service, you represent and warrant that you satisfy the eligibility requirements in Section 2 and that you will use the Service in accordance with these Terms.

1.6 If you access the Service from India, the India-Specific Provisions in Section 21 also apply to you and prevail over any conflicting general provision to the extent required by Indian law.

2. Eligibility

2.1 You must be at least eighteen (18) years of age to access or use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent and supervision of a parent or legal guardian.

2.2 By using the Service, you represent and warrant that (a) you have the legal capacity to enter into a binding agreement under applicable law; (b) the information you provide is accurate, complete, and current; and (c) your use complies with these Terms and all applicable laws.

2.3 The Service is not intended for any person prohibited from using it under applicable law. We may suspend or terminate access if we reasonably believe you do not satisfy these eligibility requirements.

3. Account Registration and Security

3.1 To access certain features you may be required to create an account ("Account") and to provide accurate, complete, current information.

3.2 Your Account is registered using your phone number and verified through a one-time password ("OTP") or another authentication method we introduce. You must keep your registered number valid and accessible.

3.3 You are responsible for maintaining the confidentiality and security of your Account and for all activity under it, and must notify us promptly of any unauthorised access.

3.4 You may delete your Account at any time through in-app settings or by contacting support, subject to our Privacy Policy and any legal retention obligations.

4. Description of the Service

4.1 mymealT is a digital health and wellness platform to log meals, monitor nutritional intake, track health and wellness metrics, access personalised insights, and use related features.

4.2 The Service may include free and paid features, including AI-powered functionality, nutritional analysis, progress tracking, personalised recommendations, and educational content that we may introduce, modify, or discontinue.

4.3 We may update, suspend, discontinue, or modify any part of the Service, with or without notice, where reasonably necessary for operational, technical, legal, security, or business reasons.

4.4 The Service is for general health, wellness, and nutritional information only and is subject to the Health and Medical Disclaimer in Section 6.

5. Artificial Intelligence Features

5.1 The Service may use artificial intelligence and machine learning ("AI Features") to analyse meal images and descriptions, estimate nutritional information, read restaurant menus you photograph, suggest dishes at restaurants near you, and generate insights and recommendations.

5.2 AI outputs are generated from the information you provide together with automated models; quality and relevance may vary with the accuracy of your inputs.

5.3 You acknowledge AI Features may produce incomplete, inaccurate, or inconsistent outputs and are informational tools only. You are solely responsible for evaluating and verifying AI-generated information before relying on it.

5.4 Restaurant suggestions in particular: where no scanned menu exists for a restaurant, suggestions may be generated from general knowledge of similar restaurants and may not reflect that restaurant's actual menu, prices, availability, or preparation. Nutrition figures for restaurant dishes are estimates. Dietary and allergen indications (including vegetarian/vegan labels) are best-effort and must not be relied upon for allergies or strict dietary requirements — always confirm directly with the restaurant.

5.5 We may improve, modify, replace, suspend, or discontinue AI Features at any time.

6. Health and Medical Disclaimer

6.1 The Service supports general health, wellness, nutrition tracking, and lifestyle management. It is not a medical device and is not intended to diagnose, prevent, monitor, treat, or cure any disease or medical condition.

6.2 Nutritional estimates, recommendations, insights, and other content are for general informational purposes only and do not constitute medical, dietary, or professional healthcare advice.

6.3 Consult a qualified physician, registered dietitian, or other healthcare professional before making decisions about your health, diet, nutrition, exercise, medication, or treatment. Never disregard or delay professional medical advice because of information from the Service.

6.4 Your use of the Service and reliance on its content is entirely at your own discretion and risk.

7. Subscriptions, Billing and Payments

7.1 The Service may be offered through free and paid subscription plans ("Premium Subscription"). Applicable fees, billing frequency, and included features are displayed before purchase. Unless stated otherwise, fees are exclusive of applicable taxes.

7.2 Purchases through the Apple App Store or Google Play. Where you buy a Premium Subscription through the Apple App Store or Google Play, billing, renewal, cancellation, and refunds are handled by that platform and are subject to its terms and policies. Manage or cancel in your device account settings. We do not process or store your payment-card details for these purchases.

7.3 Direct billing through our website (where offered). For direct web subscriptions, before charging you we (or our payment processor) will present the price, billing frequency, and renewal terms clearly and conspicuously; obtain your affirmative consent to the recurring charge; send a confirmation with cancellation instructions; and provide an easy, online method to cancel future renewals.

7.4 Unless stated otherwise at purchase, Premium Subscriptions renew automatically at the end of each billing cycle. You may cancel at any time before the next renewal date to avoid future charges; cancellation takes effect at the end of the current billing period unless applicable law requires otherwise.

7.5 Except where required by applicable law or expressly stated by us, subscription fees are non-refundable. Refunds for purchases made through third-party app stores are governed by the relevant platform's policies.

7.6 We may revise pricing from time to time; revised pricing applies only from the next billing cycle after reasonable notice, unless a different notice period is required by law.

7.7 Taxes. Fees are exclusive of applicable taxes. Indian Goods and Services Tax (GST) and any other taxes are addressed in Section 21 (India-Specific Provisions).

8. User Responsibilities and Acceptable Use

8.1 You agree to use the Service responsibly and lawfully, and that all information you provide is accurate, lawful, and does not infringe any third-party right.

8.2 You must not, directly or indirectly:

8.3 If we reasonably believe your use violates these Terms or applicable law, we may take appropriate measures, including restricting or suspending access, in accordance with Section 18.

9. User Content

9.1 The Service may allow you to upload or submit meal logs, food descriptions, photographs, preferences, feedback, and other content ("User Content").

9.2 You retain ownership of your User Content. These Terms do not transfer ownership to us.

9.3 By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, analyse, modify (where technically necessary), and display it solely to operate, maintain, improve, and provide the Service to you.

9.4 You represent and warrant that (a) you own or have the rights to submit the User Content; (b) it does not infringe any third-party intellectual property, privacy, or publicity right; and (c) it complies with these Terms and applicable law.

9.5 We may remove, restrict, or refuse to process any User Content we reasonably believe violates these Terms, applicable law, or third-party rights.

9.6 Feedback or suggestions you provide may be used by us without restriction or obligation to compensate you.

9.7 Menu contributions. When you scan a restaurant menu, the extracted menu content (restaurant name, dish names, prices, and nutrition estimates — but not your photographs or identity) becomes part of a shared restaurant database used to provide the Service to all users. For this content only, the licence in Section 9.3 extends to displaying it to other users of the Service. Menu content describes publicly offered restaurant items and is stored without any link to your identity; it may be retained after account deletion. You must only scan menus made available to you by the restaurant and must not submit falsified menu information.

10. Intellectual Property Rights

10.1 The Service — including its software, technology, source and object code, algorithms, databases, user interface, design, text, graphics, logos, trademarks, trade names, and audiovisual content (collectively, "mymealT Content") — is owned by or licensed to Emperor Technologies LLC and protected under applicable intellectual-property laws.

10.2 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your personal, non-commercial use.

10.3 Except as expressly permitted, no part of the Service or mymealT Content may be copied, reproduced, modified, distributed, displayed, published, licensed, sold, or otherwise exploited without our prior written consent.

10.4 Nothing in these Terms transfers any ownership rights to you, except the limited right to use the Service in accordance with these Terms.

11. Copyright Complaints (DMCA)

11.1 If you believe content on the Service infringes your copyright, send a written notice to our Designated Agent containing: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) your contact details; (e) a statement of good-faith belief that the use is not authorised; and (f) a statement, under penalty of perjury, that the information is accurate and you are authorised to act.

11.3 We may remove allegedly infringing material and terminate repeat infringers' access in appropriate circumstances.

12. Privacy

12.1 Our collection, use, storage, disclosure, and processing of your personal data are governed by our Privacy Policy, which forms an integral part of these Terms.

12.2 By using the Service, you acknowledge your personal data may be processed in accordance with our Privacy Policy and applicable law, including the US privacy laws referenced in the Privacy Policy and India's Digital Personal Data Protection Act, 2023, as applicable to you.

12.3 You are responsible for ensuring the personal information you provide is accurate and current.

13. Third-Party Services

13.1 The Service may integrate with or rely on third-party products, platforms, or services ("Third-Party Services"), which may be subject to their own terms and privacy policies. Restaurant discovery is powered in part by Google Maps; by using location-based restaurant features you also agree to the Google Maps/Google Earth Additional Terms of Service and Google's Privacy Policy.

13.2 We do not own or control Third-Party Services and are not responsible for their availability, functionality, security, or performance, except to the extent required by applicable law.

13.3 We may add, replace, or discontinue Third-Party Services at any time.

14. Electronic Communications and Notices

14.1 By creating an Account or using the Service, you consent to receive communications electronically — through the Service, email, SMS, push notifications, or other electronic means — including account, security, verification, transactional, and legal notices.

14.2 Where permitted by applicable law, electronic communications satisfy any legal requirement that such communications be in writing.

14.3 You are responsible for keeping your contact information current; we are not responsible for failed delivery due to inaccurate information you provide.

15. Disclaimer of Warranties

15.1 The Service is provided on an "as is" and "as available" basis, without warranty of any kind, whether express, implied, statutory, or otherwise.

15.2 To the fullest extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, and uninterrupted operation.

15.3 We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

15.4 Nothing in this Section excludes any warranty or consumer right that cannot be excluded under applicable law.

16. Limitation of Liability

16.1 To the fullest extent permitted by applicable law, neither Emperor Technologies LLC nor its affiliates, directors, officers, employees, licensors, or service providers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or anticipated savings, arising out of or relating to the Service.

16.2 Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100 (for Users in India, INR 5,000).

16.3 Nothing excludes or limits liability that cannot be excluded under applicable law, including for fraud, fraudulent misrepresentation, or wilful misconduct.

17. Indemnification

17.1 You agree to indemnify and hold harmless Emperor Technologies LLC and its affiliates, directors, officers, employees, and authorised representatives from any claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising from (a) your breach of these Terms; (b) your misuse of the Service; (c) your violation of applicable law; or (d) your infringement of any third-party right.

17.2 We may assume exclusive defence and control of any matter subject to indemnification, and you agree to cooperate reasonably.

18. Suspension and Termination

18.1 You may stop using the Service and delete your Account at any time under Section 3. Deletion does not affect rights or obligations accrued before deletion.

18.2 We may suspend or terminate your access, with or without notice, where we reasonably believe (a) you breached these Terms; (b) your use is unlawful, fraudulent, or a security risk; (c) your actions may adversely affect the Service, other Users, or third parties; or (d) it is required to comply with applicable law or a lawful order.

18.3 On suspension or termination, your right to use the Service ceases, outstanding payment obligations remain payable, and we may retain or delete your Account data per our Privacy Policy and applicable law.

18.4 Provisions that by their nature survive — including intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and accrued rights — continue in effect.

19. Changes to these Terms

19.1 We may revise these Terms to reflect changes in the Service, applicable law, or business practices.

19.2 For material changes, we will provide reasonable notice through the Service or other electronic means before they take effect, unless immediate changes are required by law.

19.3 Your continued use after the revised Terms take effect constitutes acceptance. If you do not agree, you must stop using the Service.

20. Governing Law and Dispute Resolution

20.1 Except as provided in Section 21 for Users resident in India, these Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles.

20.2 Except as provided in Section 21, any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in California, and you consent to their jurisdiction and venue.

20.3 Nothing in this Section deprives a consumer of the protection of mandatory consumer-protection laws of their country of residence that cannot be contractually waived.

21. India-Specific Provisions

These provisions apply to Users who access the Service from India and prevail over conflicting general provisions to the extent required by Indian law.

21.1 Governing law for Indian residents. To the extent Indian law mandates, these Terms are also governed by the laws of India, and the competent courts at Hyderabad, Telangana, India have jurisdiction over disputes with Indian-resident consumers whose rights cannot be waived.

21.2 Recurring payments (direct web billing). For any direct (non-app-store) recurring payment to an Indian card, we or our payment service provider will send a pre-debit notification in advance of each auto-renewal, in accordance with Reserve Bank of India guidelines.

21.3 GST. Subscription fees are exclusive of Indian Goods and Services Tax (GST), charged in addition at the prevailing rate where applicable.

21.4 Electronic communications. Electronic communications satisfy the writing requirement under the Information Technology Act, 2000.

21.5 Grievance Officer. In accordance with applicable Indian law, grievances relating to the Service or content may be addressed to:

22. Severability

If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to be enforceable or severed, and the remaining provisions continue in full force.

23. Assignment

23.1 You may not assign your rights or obligations under these Terms without our prior written consent.

23.2 We may assign or transfer these Terms, in whole or in part, to any affiliate, successor, or in connection with a merger, acquisition, restructuring, or sale of assets, without your consent.

24. Entire Agreement

24.1 These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and us regarding the Service and supersede all prior communications on the subject.

24.2 No failure or delay in exercising any right is a waiver of it.
